Customer: The natural or legal person using the services of BrandXpansion B.V.
Services: All services and products offered by BrandXpansion B.V., including software development, online merchandise sales and charging station solutions.

3. Offer and Acceptance

All offers from BrandXpansion B.V. are non-binding, unless explicitly stated otherwise. An agreement is formed by written confirmation by BrandXpansion B.V. or by actual performance of the service.

4. Prices and Payment

All prices are exclusive of VAT, unless stated otherwise. Payment must be made within 14 days of invoice date, unless otherwise agreed. In case of late payment, the customer is automatically in default.

5. Delivery

Delivery times are indicative and do not constitute an essential obligation. Delay in delivery does not give the customer the right to compensation or dissolution of the agreement, unless the delay is the result of intent or gross negligence of BrandXpansion B.V.

6. Retention of Title

All delivered products remain the property of BrandXpansion B.V. until all obligations of the customer have been fulfilled.

7. Liability

BrandXpansion B.V. is not liable for indirect damage, consequential damage, lost profits or missed savings. The liability of BrandXpansion B.V. is limited to the amount of the invoice, unless there is intent or gross negligence.

8. Intellectual Property

All intellectual property rights on software and other works developed by BrandXpansion B.V. rest with BrandXpansion B.V., unless explicitly agreed otherwise.

9. Confidentiality

Both parties undertake to maintain confidentiality of all confidential information they obtain in the context of the agreement.

10. Disputes

Dutch law applies to all agreements. Disputes will be submitted to the competent court in the district where BrandXpansion B.V. is located.

BrandXpansion B.V. reserves the right to modify these terms and conditions. Changes take effect after publication on the website.
